TRUSTEE'S SALE OF

In execution of a certain Purchase Money Deed of Trust from Herberton Poplar Hill Residential II, LLLP, a Virginia limited liability limited partnership, to Charles L. Cabell and John M. Mercer, Trustees, dated June 6, 2007, and recorded in the Clerk's Office, Circuit Court, Prince Edward County, Virginia, as Instrument No. 07-1671, default having been made in the payment of the debt thereby secured, and being required to do so by the noteholder, the undersigned Sole Acting Trustee will offer for sale at public auction at the entrance to the building housing the Circuit Court of Prince Edward County, Virginia on September 30, 2010, at 11:00 a.m., the real estate with improvements thereon, if any, known as real estate described on certain plats prepared by William C. Young, Jr., L.S. dated June 7, 2006 and entitled as follows: (1) plat showing reconfiguration of Parcel “F-1”, an 8.021 acre division of land, (2) plat showing reconfiguration of Parcel “F-2”, a 9.715 acre division of land, (3) plat showing a reconfiguration of Parcel “J”, a 78.302 acre division of land, (4) plat showing Parcel “K”, an 18.63 +/- acre division of land, (5) plat showing reconfiguration of Parcel “L”, a 87.578 acre division of land, (6) a plat showing a reconfiguration of Parcel “M”, a 47.033 acre division of land, (7) a plat showing a reconfiguration of Parcel “N”, a 24.933 acre division of land, (8) a plat showing a reconfiguration of Parcel “P”, a 7.789 acre division of land, (9) a plat showing a reconfiguration of Parcel “Q”, a 23.726 acre division of land, together with any and all easements, including easements of ingress and egress and utility easements affecting the property and which property is more particularly described in the aforementioned Deed of Trust, as further reconfigured by a Deed of Boundary Line Adjustment dated April 15, 2009, recorded in the aforesaid Clerk's Office dated May 13, 2009 as Instrument Number 09-992. Parcels “F-1”, “F-2”, “K” and “J” are portions of Tax Map No.51-A-41C. Parcel “L” is Tax Map No. 51-A-L. Parcel “M” is Tax Map No. 51-A-M. Parcel N is Tax Map No. 51-A-N. Parcel “P” is Tax Map No. 51-A-P. Parcel Q is Tax Map. No. 51-A-Q. This sale will not include Lots 3,4 and 5 of the Manor Golf Village, Phase 1 which are no longer subject to the deed of trust.

Sale shall be made subject to all existing superior liens, easements and restrictive covenants, if any, as the same may lawfully affect the real estate. The sale shall also be subject to any filed and unfiled mechanic's and materialman's liens on the property to the extent they may have priority over the deed of trust being foreclosed. The Trustee reserves the right to sell these properties in bulk or individually, whichever method brings the highest price.

A bidder's deposit will be required at the date of the sale in cash or by cashiers or certified check payable to the Substitute Trustee in the amount of Two Hundred Fifty Thousand Dollars ($250,000.00). The balance of the sales price shall be paid in cash, or by certified and cashiers check at settlement, which shall be held 21 days from the date of the sale at the office of the Substitute Trustee, time being of the essence. Additional terms will be announced at the sale.
